The Open Compute Project Foundation is a Delaware corporation under IRC 501(c)(6). It is governed by its Board of Directors:

• Chairman/President – Frank Frankovsky, VP, Hardware Design and Supply Chain Operations, Facebook
• Jason Waxman, General Manager, High Density Computing, Data Center Group, Intel
• Mark Roenigk, Chief Operating Officer, Rackspace Hosting
• Andy Bechtolshiem, Arista Networks
• Don Duet, Managing Director, Goldman Sachs

The Board of Directors charters the Projects, appoints Project Committee chairs, and approves specifications. The Incubation Committee, which manages new Projects within the Foundation, reports to the Board. The organizational structure of the Foundation is shown below:
